MEMORANDUM
ON SCIENTIFIC AFFILIATION
This memorandum on scientific affiliation (hereinafter, referred to as “Memorandum”) is signed by “A. I. Alikhanyan National Science Laboratory (Yerevan Physics Institute)” Foundation, which is referred to as “AANL” in the further description of this Memorandum, duly represented by Director Gevorg Karyan, who is acting on the basis of the Foundation`s Charter, on one side,
and
hereinafter referred to as “AANL-affiliated scientist”, on the other side, and collectively as “Parties”.
Based on the principles of mutual respect, transparency and good faith, the Parties agreed upon the following:
1. Purpose of the Memorandum
1.1. The purpose of the Memorandum is to establish long-term cooperation between the Parties, to define the terms of this cooperation, to ensure the conditions of effective interaction between the Parties.
2. Directions of Cooperation
2.1. Upon signing the present Memorandum, AANL gives its consent for the AANL-affiliated scientist to use the name of the Foundation when reporting and/or publishing his/her research findings. The affiliated scientist undertakes to mention his/her cooperation with AANL in publications, indicating the name of AANL as the venue of his/her scientific activity (affiliation).
2.2. By concluding the Memorandum, the Parties maintain their individual and specific objectives and obligations. This Memorandum shall in no way be construed as supplementing or superseding any agreements or contracts previously entered into or to be entered into in the future between the Parties.3. Other Forms of Cooperation and Support
3.1. Within the framework of the cooperation defined by the Memorandum, discussions may be regularly organized with the participation of the Parties, including presentations of scientific research programs of AANL-affiliated scientists and/or the data obtained as a result of the implementation of these programs,
3.2. The Parties hereby agree that in order to ensure the implementation of the Memorandum, they may also choose other forms of cooperation (seminars, conferences, lectures, etc.), which are not defined in the Memorandum, but correspond to and derive from the purpose of the Memorandum, 3.3 The Parties hereby agree that the AANL-affiliated scientist may also cooperate with other international organizations and relevant beneficiaries, informing the Foundation about this. 3.4 Within the framework of the cooperation defined by the Memorandum, AANL can provide the affiliated scientist an opportunity to use the relevant material and technical resources of AANL, to access and exit the territory of AANL without hindrance, to participate and/or conduct in thematic seminars and conferences, and to carry out scientific research4. Disputes Resolution
4.1. All disputes between the Parties arising from the interpretation or application of the provisions of this Memorandum shall be settled amicably through negotiations and consultations.
5. Amendment and Modification
5.1. Amendments and modifications to the Memorandum can be made by mutual agreement of the Parties and must be formulated in form of separate protocols. The protocols enter into force after being signed by the Parties and form an integral part of the Memorandum.
6. Effectiveness and Termination
6.1. The Memorandum shall enter into force upon signing by the Parties. The Memorandum may be terminated by either Party upon written notice thereof within one month. This Memorandum may also be terminated in the event of failure of either Party to perform its duties properly.
6.2. In case of termination of the Memorandum, the Parties shall take necessary steps to ensure that the already undertaken measures are completed in an orderly and timely manner.7. Final Provisions
7.1. The present Memorandum is concluded in two (2) original copies. Each Party shall receive one copy in the Armenian and English languages.

ON AANL - AFFILIATED ENGINEER
This memorandum on scientific affiliation (hereinafter, referred to as “Memorandum”) is signed by “A. I. Alikhanyan National Science Laboratory (Yerevan Physics Institute) Foundation, which is referred to as “AANL” in the further description of this Memorandum, duly represented by Director Gevorg Karyan, who is acting on the basis of the Foundation`s Charter, on one side,

hereinafter referred to as “AANL-affiliated engineer”, on the other side, and collectively as “Parties”.
